Terms and Conditions
These Terms and Conditions (“Terms”) govern access to and use of ResearchKit, including the website at researchkit.run and related applications, APIs, and services (the “Service”). By accessing or using the Service, or by purchasing or activating a subscription through Microsoft Marketplace (including Azure Marketplace), you agree to these Terms on behalf of yourself and the organisation you represent (“Customer”).
If you do not agree to these Terms, do not use the Service. Purchases made through Microsoft Marketplace are also subject to Microsoft’s applicable commercial marketplace terms.
1. The Service
ResearchKit provides AI research agents and related tools for analysts working with sensitive data in regulated environments. Features may include verification of metrics and outputs, experiment tracking, connections to approved data sources, and isolated compute sandboxes. We may add, change, or discontinue features. The Service is provided for professional use by Customer’s authorised users.
2. Marketplace subscriptions and billing
If Customer subscribes through Microsoft Marketplace, Microsoft (not ResearchKit) bills Customer according to the selected plan, quantity, and Microsoft’s marketplace processes. Activation of a marketplace subscription may require completing account setup on our landing page. Plan changes, cancellations, and refunds for marketplace purchases follow Microsoft’s policies and the Customer’s Microsoft agreement, except where we are required to act (for example, suspending access after a cancel or unsubscribe webhook).
3. Accounts and authorised users
Customer is responsible for workspace configuration, user access, credentials, and activity under its accounts. Customer must keep login details confidential and notify us promptly athello@researchkit.run of unauthorised use. Customer may only permit users who are authorised to act for Customer. We may suspend access if we reasonably believe these Terms, applicable law, or marketplace requirements are being violated.
4. Customer data
“Customer Data” means data, files, prompts, and other content Customer or its users submit to the Service. Customer retains its rights in Customer Data. Customer grants ResearchKit a limited licence to host, process, and display Customer Data solely to provide and secure the Service, to comply with law, and to fulfil marketplace subscription operations.
Customer is responsible for having the rights and lawful basis to submit Customer Data, including personal data and any regulated or confidential information. Customer should not submit data that it is not authorised to process in this environment. Our handling of personal data is described in ourPrivacy Policy.
5. Acceptable use
Customer and its users must not:
- use the Service in violation of law, regulation, or third-party rights;
- attempt to bypass access controls, isolation, or usage limits;
- probe, scan, or disrupt the Service or related infrastructure except with our written permission;
- upload malware or content that is unlawful, harmful, or infringing;
- resell, sublicense, or provide the Service to third parties except as the purchased plan allows;
- use outputs as the sole basis for decisions with legal, credit, employment, or similar effects without appropriate human review.
6. AI outputs and professional responsibility
The Service may generate analysis, code, metrics, and other outputs using AI models. Outputs can be incomplete, incorrect, or out of date. Customer is solely responsible for reviewing outputs, validating them against source data and internal controls, and deciding whether to rely on them. ResearchKit does not provide legal, compliance, credit, investment, or other regulated professional advice.
7. Intellectual property
ResearchKit and its licensors own the Service, including software, models we provide, designs, and trademarks. These Terms do not transfer ownership of the Service to Customer. Subject to these Terms and an active subscription, we grant Customer a non-exclusive, non-transferable right to use the Service during the subscription term. Feedback Customer provides may be used to improve the Service without obligation to Customer.
8. Confidentiality
Each party may receive confidential information of the other. The receiving party will use that information only to perform under these Terms and will protect it with at least reasonable care. This obligation does not apply to information that is public, independently developed, or rightfully received from a third party without duty of confidence, or that must be disclosed by law.
9. Third-party services
The Service may connect to third-party systems Customer chooses (for example data warehouses, cloud storage, or model providers) and may run workloads in isolated sandboxes. Those services are governed by their own terms. We are not responsible for third-party services we do not control.
10. Availability, support, and changes
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. Features, models, and limits may change. Support is available athello@researchkit.run. We may update these Terms by posting a revised version on this page. Continued use after the effective date of a revision constitutes acceptance, except where marketplace or other law requires a different process.
11. Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service or any output will meet Customer’s requirements, be accurate, or be free of defects.
12. Limitation of liability
To the maximum extent permitted by law, ResearchKit and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised of the possibility. Our aggregate liability arising out of these Terms or the Service will not exceed the amounts Customer paid for the Service in the twelve months before the claim (or, if none, one hundred US dollars). These limits do not apply to liability that cannot be limited under applicable law.
13. Suspension and termination
Customer may stop using the Service at any time and may cancel a marketplace subscription through Microsoft’s processes. We may suspend or terminate access for material breach, legal risk, non-payment, or marketplace notices (including unsubscribe, suspend, or reinstate events). After termination, Customer’s right to use the Service ends. Sections that by their nature should survive (including intellectual property, confidentiality, disclaimers, and liability limits) will survive.
14. Governing law
These Terms are governed by the laws of England and Wales, excluding conflict-of-law rules, unless a mandatory law of Customer’s jurisdiction requires otherwise. Courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief in any competent forum.
